Terms of Service

1. Acceptance of Terms

By accessing or using the Eldari platform ("Service"), operated by Eldari Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Eldari is an AI-powered research automation platform that enables organizations to ingest, process, mask, and generate content from their proprietary data. The Service includes document ingestion and processing, automated PII/IP masking, vector-based retrieval augmented generation (RAG), content workflow execution, and related tools and APIs.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each individual must maintain their own account; sharing of account credentials is prohibited. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use the Service to develop, train, or improve a competing product or service
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload content that infringes on third-party intellectual property rights
  • Use automated means to access the Service beyond what is provided by our APIs

5. Intellectual Property

Your Content. You retain all ownership rights to content you upload to the Service ("User Content"). By uploading User Content, you grant the Company a limited, non-exclusive, worldwide license to process, store, and display your User Content solely for the purpose of providing and improving the Service to you.

Our Platform. The Service, including all software, algorithms, interfaces, documentation, and trademarks, is and remains the exclusive property of Eldari Inc. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without prior written consent.

AI-Generated Output. Content generated by the Service using your User Content is considered a derivative of your User Content. You own such output, subject to any restrictions imposed by applicable law.

6. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. For details on our security practices, see our Security page.

7. Payment Terms

Subscription Billing. The Service is offered on a subscription basis with monthly and annual billing options. Fees are charged in advance at the beginning of each billing cycle.

Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

Refunds. Annual subscriptions are eligible for a pro-rated refund for unused full months remaining in the billing period. Monthly subscriptions are non-refundable.

Price Changes. We may adjust pricing with at least 30 days' notice before the start of your next billing period.

8. Service Level

We target 99.5% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance when possible. This uptime target is a goal, not a guarantee, unless a separate Service Level Agreement (SLA) has been executed.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

THE COMPANY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

By You. You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

By Us. The Company will indemnify, defend, and hold harmless you from and against any third-party claims alleging that the Service, as provided by the Company, infringes a third party's intellectual property rights, provided you promptly notify us of any such claim and cooperate with our defense.

11. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your access if you violate these Terms or for any other reason with 30 days' notice.

Upon termination, you will have 30 days to export your data. After this period, we will delete your data in accordance with our data retention practices described in our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Connecticut.

13. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
